End-User License Agreement

This agreement governs use of Segera Finance Reporting ("the Application"), an internal reporting tool owned and operated by Segera Ltd, Rumuruti Road, Nanyuki, Laikipia County, Kenya ("Segera").

1. Who may use it

Use is permitted only to individuals expressly authorised in writing by the management of Segera — currently members of Segera's executive and finance functions and the external consultant retained to maintain the Application. Authorisation is personal, may not be transferred or shared, and lapses automatically when the individual's role or engagement ends.

2. What the Application does

The Application reads accounting data from the QuickBooks Online companies of Segera Ltd and the Zeitz Foundation, together with reservation and revenue data from Segera's reservation system, and presents consolidated management reporting: profit and loss against budget, balance sheet, liquidity forecast, receivables and payables ageing, occupancy and booking movement.

3. Read-only by design

The Application holds a single QuickBooks scope, com.intuit.quickbooks.accounting, and issues read requests only. It cannot create, alter, approve or delete a transaction, an invoice or a payment in QuickBooks. Nothing shown by the Application constitutes an accounting entry, and the accounting records themselves remain the sole authoritative source.

4. Permitted use

Authorised users may view, download and circulate output from the Application within Segera for management, controlling and board reporting purposes.

5. Restrictions

• No disclosure of output to anyone outside Segera without written approval from management, save where disclosure is required by law or by Segera's auditors.
• No sharing of credentials, no access from shared or unattended devices.
• No attempt to extend the Application's access beyond the granted scope, and no reuse of its credentials for any other purpose.
• No copying, decompiling or redistribution of the Application itself.

6. Ownership

The Application, its source code and its documentation are the property of Segera. This agreement grants a right of use only and transfers no intellectual property. QuickBooks and Intuit are trademarks of Intuit Inc.; this Application is not endorsed by or affiliated with Intuit Inc.

7. Accuracy and reliance

The Application is a reporting layer over source systems. Figures are only as accurate as the underlying records. It is provided without warranty of accuracy, completeness or fitness for a particular purpose. Where a figure is used for a statutory filing, a board resolution or a payment decision, it must be verified against the source system. Segera accepts no liability for decisions taken in reliance on the Application alone.

8. Data protection

Processing of personal data is described in the Privacy Policy, which forms part of this agreement. Segera processes such data in accordance with the Kenya Data Protection Act, 2019.

9. Suspension and termination

Segera may withdraw any user's access at any time, with or without notice, and may disconnect the Application from QuickBooks at any time. On termination, the user must cease all use and delete any local copies of output in their possession.

10. Governing law

This agreement is governed by the laws of Kenya. The courts of Kenya have exclusive jurisdiction over any dispute arising from it.
